Terms of Use

Introduction

  1. This Terms of Use document outlines the terms under which the Provider offers Subscriptions to its Product and AI Credits offerings.
  2. The Customer and the Provider agree to this Terms of Use upon the Customer's signup on the platform.
  3. Orders may be placed through Skyline Studio website.

Definitions

  1. Customer: The entity or individual obtaining access to the Product through purchase.
  2. Customer Data: Any data, content, or materials that the Customer uploads, posts, or otherwise makes available within the Product. This includes, but is not limited to, text, images, files, and other content.
  3. Product: Cloud application listed on https://skyline-studio.ai
  4. Order: An order by Customer for a Subscription that is entered into through Stripe billing system.
  5. Permitted Use: Use of a Product in accordance with the applicable Subscription and Order.
  6. Provider: The organization offering and licensing the Product - Acceleration Engineering with its registered seat in Gdansk, Leborska 3b, code 80-386 Gdansk, Poland, tax number 5892005066.
  7. Subscription: The Customer's right to use the Product, as specified in the Order for the Subscription.
  8. Subscription Term: The period during which the Customer has authorized access to the Product.

License grant and obligation

  1. The Provider grants the Customer a limited, non-transferable, non-exclusive license to access and use the Product solely for its intended purpose.
  2. The Customer agrees to use the Product only in accordance with Permitted Use and in compliance with the acceptable use regulations set forth by the Provider, as well as applicable laws.
  3. The Customer is prohibited from:
    • modifying, reverse engineering, decompiling, or creating derivative works from the Product;
    • reselling, sublicensing, or sharing access to unauthorized parties;
    • violating applicable laws or third-party rights using the Product; or
    • circumventing security measures or access controls implemented by the Provider.

Types of License and Subscription Term

  1. License type:
    • Commercial License: Continued access contingent on subscription fees.
  2. Subscriptions and renewals are handled by the Stripe platform. Monthly billing is available. All fees include applicable taxes unless otherwise stated.

Privacy and Data Protection

  1. Use of Customer Data: The Provider will process Customer Data in accordance with applicable laws, including Regulation (EU) 2016/679 of the European Parliament and of the Council (GDPR) and other relevant data protection legislation. For detailed information on data processing, please refer to our Privacy Policy.
  2. Data Protection Compliance: The Customer must:
    • comply with all applicable data protection and privacy laws;
    • notify and obtain necessary consent from all users and data subjects regarding the processing of their personal data by the Provider and its partners.
  3. Security Measures: Provider will implement appropriate technical and organizational measures to protect Customer Data from unauthorized access, use, or disclosure, ensuring its confidentiality, integrity, and availability.

Fees and Payment

  1. All fees are payable as agreed in the Customer's order. Failure to pay fees when due may result in suspension or termination of access to the Product. The amount of fees is specified in the Order.

Intellectual Property

  1. Rights of the Provider: All ownership, title, and intellectual property rights in the Product and related documentation shall remain with the Provider. No rights other than those expressly granted in this Terms of Use are conveyed to the Customer.
  2. Rights of the Customer: The Customer retains all intellectual property rights in its own data and materials provided to the Provider. The Provider will not use such data except as required to provide the Product and in accordance with this Terms of Use.

AI Credits

  1. AI generation costs are measured by AI Credits. AI Credits provide access to AI-powered page generation and edition. Credits are deducted based on prompt, page length, selected template, and the chosen AI model.
  2. AI Credits are added to Customer account 1) on signup as free credits 2) when a new Subscription is bought 3) when the Subscription is refreshed 4) when AI Credits are bought by the Customer.
  3. If all AI Credits are used, the Customer cannot perform more AI requests until the Customer obtains a new set of AI Credits or a monthly Subscription is refreshed.

Payments

  1. The Provider uses Stripe to process Subscription and AI Credits payments. By purchasing Subscription and AI Credits, the Customer accepts Stripe's Terms of Service and Privacy Policy. All payment details are handled exclusively by Stripe.
  2. All payments are processed in USD.
  3. The Provider reserves the right to modify AI Credits pricing at any time.

Disclaimer of warranties

  1. The Marketplace Product is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  2. Except as expressly set out in Terms of Use, each party disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Limitations of Liability

  1. To the maximum extent permitted by law, the total liability of the Provider to the Customer for any claims shall not exceed the amount of the fees actually paid by the Customer for the Product during the two (2) months preceding the claim.

Indemnification

  1. The Provider will indemnify the Customer against claims that the Product infringes the intellectual property rights of a third party, provided that the Customer immediately notifies the Provider of any such claim and provides reasonable cooperation.
  2. The Customer shall indemnify the Provider against claims arising from misuse of the Product, non-compliance with applicable laws, or breach of this Terms of Use. Any action taken by the Customer is at its own expense.
  3. Indemnification by the Provider requires:
    • prompt notification by the Customer of any claim,
    • exclusive control of the legal remedies and settlement by the Provider,
    • reasonable cooperation from the Customer to support the Provider's legal action.

Term and Termination

  1. All licenses under this Terms of Use remain in effect until terminated.
  2. This Terms of Use shall remain in force for as long as the Customer has an active account in the Product, unless terminated earlier in accordance with the provisions of this Terms of Use.
  3. The Provider may terminate this Terms of Use in the event of a material breach or non-compliance by the Customer.
  4. The decommissioning of the Product by the Provider will have, as a consequence, the termination of this Terms of Use.
  5. Sections "Disclaimer of warranties", "Limitations of Liability", and "Indemnification" of this document shall remain in effect even after termination.

Miscellaneous

  1. Governing Law and Dispute:
    • This Terms of Use is governed by Polish law.
    • Disputes unresolved through negotiation will be subject to the exclusive jurisdiction of Polish courts.
  2. Severability: Invalid or unenforceable provisions will not affect the validity of the remaining terms.
  3. Assignment: The Provider may assign rights and obligations under this Terms of Use without the consent of the Customer; any permitted assignee shall be bound by the terms and conditions of this Terms of Use. The Customer may not assign this Terms of Use without the prior written consent of the Provider.
  4. Force Majeure: The Provider is not liable for failure to perform obligations due to unforeseen events beyond reasonable control, such as natural disasters, war, strikes, or government actions.
  5. Entire Agreement: This Terms of Use constitutes the entire agreement between the Provider and the Customer, superseding prior communications. Customer agrees to the terms stated in Privacy Policy.
  6. Amendment: The Provider reserves the right, at its sole discretion, to change, add, or remove the terms and conditions contained in this Terms of Use at any time. Any changes will be notified to the Customer via email.
  7. Notice:
    • Communications to the Provider must be directed to contact@skyline-studio.ai.
    • Notices to the Customer shall be sent to the email address or physical address provided at the time of signup and shall be deemed received 24 hours after sending by email or 14 days after being sent by postal mail.
